The following terms and conditions, together with our Privacy Policy (collectively, these ”Terms”), govern your access to and use of the Website.
BY USING THE WEBSITE, YOU ACCEPT AND AGREE TO BE BOUND AND COMPLY WITH THESE TERMS AND CONDITIONS AND OUR PRIVACY POLICY, INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS OR THE PRIVACY POLICY, YOU MUST NOT ACCESS OR USE THE WEBSITE.
By using this Website, you represent and warrant that you are the legal age of majority under applicable law to form a binding contract with CFT and meet all of the foregoing eligibility requirements. If you are under the legal age of majority, you may only access or use the Website with the consent of your parent of legal guardian. Please be sure your parent or legal guardian has reviewed and discussed these Terms and the Privacy Policy with you.

We reserve the right in our sole discretion to revise and update these Terms from time to time. attempting to breach or breaching the security and/or authentication measures which are not authorized;
c)
restricting, disrupting or disabling service to users, hosts, servers, or networks;

disrupting network services and otherwise disrupting Website owner’s ability to monitor the Website;
f)
using any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any of the material on the Website;

introducing any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
h)

Intellectual Property Rights and Ownership
You understand and agree that the Website and its entire contents, features, and functionality, including, but not limited to, all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement, are owned by the CFT, its licensors, or other providers of such material and are protected in all forms by intellectual property laws including without limitation, copyright, trademark, patent, trade secret, and any other proprietary rights.
The CFT name, trademarks, logo, and all related names, logos, product and service names, designs, images, and slogans are trademarks of the CFT or its affiliates or licensors. You must not use such marks without the prior written permission of the CFT. Other names, logos, product and service names, designs, images, and slogans mentioned, or which appear on this Website are the trademarks of their respective owners. Use of any such property, except as expressly authorized, shall constitute an infringement or violation of the rights of the property owner and may be a violation of federal or other laws and could subject the infringer to legal action.
You may only use the Website for your personal and non-commercial use. You shall not directly or indirectly reproduce, compile for an internal database, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, in any form or medium whatsoever except:
a)
your computer and browser may temporarily store or cache copies of materials being accessed and viewed;
b)
a reasonable number of copies for personal use or educational use only may be printed keeping any proprietary notices thereon, which may only be used for non-commercial and lawful personal or educational use and not for further reproduction, publication, or distribution of any kind on any medium whatsoever;

in the event social media platforms are linked to certain content on our Website, you may take such actions as our Website and such third-party social media platforms permit.
Users are not permitted to modify copies of any materials from this Website nor delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site. You must not access or use for any commercial purposes any part of the Website or any services or materials available through the Website.
If you print off, copy or download any part of our Website in breach of these Terms, your right to use the Website will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. As a condition of your access and use, you agree that you may use the Website only for lawful purposes and in accordance with these Terms.
Without limiting the foregoing, you warrant and agree that your use of the Website shall not:

Include or contain any material that is exploitive, obscene, harmful, threatening, abusive, harassing, hateful, defamatory, sexually explicit or pornographic, violent, inflammatory, or discriminatory based on race, sex, religion, nationality, disability, sexual orientation, or age or other such legally prohibited ground or be otherwise objectionable, such determination to be made in CFT’s sole discretion.
d)
Involve stalking, attempting to exploit or harm any individual (including minors) in any way by exposing them to inappropriate content or otherwise or ask for personal information as prohibited under applicable laws, regulations, or code.
e)
Involve, provide, or contribute any false, inaccurate, or misleading information.
f)
Include sending, knowingly receiving, uploading, downloading, using, or reusing any material that does not comply with these Terms.
g)
Encourage any other conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which, as determined by us, may harm the CFT or users of the Website or expose them to liability.
h)
Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, or alarm any other person.
i)
Promote any illegal activity, or advocate, promote, or assist any unlawful act.

Site Monitoring and Enforcement, Suspension and Termination
CFT has the right, without provision of notice to:
a)
Take appropriate legal action, including, without limitation, referral to law enforcement or regulatory authority, or notifying the harmed party of any illegal or unauthorized use of the Website. Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone accessing or requesting any materials on or through the Website.
b)
Terminate or suspend your access to all or part of the Website for any or no reason, including, without limitation, any violation of these Terms.
YOU WAIVE AND HOLD HARMLESS THE CFT AND ITS PARENT, SUBSIDIARIES, AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, AND SUCCESSORS FROM ANY AND ALL CLAIMS RESULTING FROM ANY ACTION TAKEN BY CFT AND ANY OF THE FOREGOING PARTIES RELATING TO ANY, INVESTIGATIONS BY EITHER CFT OR SUCH PARTIES OR BY LAW ENFORCEMENT AUTHORITIES.
We have no obligation, nor any responsibility to any party to monitor the Website or its use.

Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless CFT, its parent, subsidiaries, affiliates, and their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees and disbursements) arising out of or relating to your breach of these Terms or your use of the Website, including, but not limited to third-party sites, any use of the Website’s content, services, and products other than as expressly authorized in these Terms.
14.
Governing Law and Choice of Forum
The Website and these Terms will be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision, principle, or rule (whether of the laws of the Province of Ontario or any other jurisdiction) and notwithstanding your domicile, residence, or physical location.
Any action or proceeding arising out of or relating to this Website and under these Terms will be instituted in the courts of the Province of Ontario and/or the Federal Court of Canada, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such action or proceeding. You waive any and all objections to the exercise of jurisdiction over you by such courts and to the venue of such courts.

Waiver
No failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from these Terms operates, or may be construed, as a waiver thereof. No single or partial exercise of any right, remedy, power, or privilege hereunder precludes any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.

Severability
If any term or provision of these Terms is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of these Terms or invalidate or render unenforceable such term or provision in any other jurisdiction.
17.
Entire Agreement
The Terms and our Privacy Policy constitute the sole and entire agreement between you and CFT regarding the Website and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, regarding such subject matter.

Canada's Forest Trust Corporation Student Scholarship Program ("Official Rules")

1.
Program Period
Canada’s Forest Trust Student Scholarship Program (the “Program”) begins at 08:00 on May 17, 2022. By participating in the Program, each entrant agrees to abide by and be bound by these Official Rules. Entrants further agree to abide by and be bound by all decisions of Canada’s Forest Trust Corporation (the “CFT”), which shall be final and binding, without right of appeal, in all matters relating to this Program and the awarding of the scholarship including without limitation eligibility and/or disqualification of entries.
2.
Eligibility
The Program is open to legal residents of Canada who: (i) are 13 years of age or older ; (ii) have the consent of their parent or legal guardian to participate in the Program and; (iii) are enrolled at a Canadian elementary or high school. CFT may require proof of points (i)-(iii) to confirm eligibility.
Excluded from eligibility are the officers, directors, employees, agents and representatives of CFT, any Program judges, and each of their respective parents, subsidiaries, affiliates, distributors, sales representatives, advertising and promotion agencies (collectively, the “Program Entities”), and members of the immediate families (defined as parents, siblings, children and spouses, regardless of where they live) or households (whether or not related) of such officers, directors, employees, agents and representatives.
3.
How to Enter
NO PURCHASE NECESSARY. Limit: None. Every additional entry will require a unique video to be considered as a new submission. Internet access is required to enter.
To obtain one (1) entry, visit www.canadasforesttrust.ca/student-scholarship-program/ CFT’s webpage (“Program Website”) and follow the instructions on the Program Website to enter. On the entry form, you must include your name, phone number, email address, school, school location, type of school, grade and month and year of birth.
Further, you must submit a video that answers the following prompt: “Why a forest and not a tree?” (see Program Website for more details on the prompt). The video must:

Be 30 seconds or less in length
-
Be submitted in an MP4 format
-
Filmed in a vertical or portrait aspect
-
Contain visuals that are clear and easy to understand
-
In English or French
Further, all entries must meet the following submissions guidelines (the “Submissions Guidelines”):
(i)
Do not disparage CFT: The entry must not defame, misrepresent or contain disparaging remarks about CFT or any of its products, or other people, products or companies or communicate messages inconsistent with the positive images and/or goodwill associated with the CFT, as determined by CFT in its sole discretion.
(ii)
Family audience: Entry must be suitable for family audiences, as determined by CFT in its sole discretion.
(iii)
No harmful content: Entry must not contain any content that is or contains: unlawful behaviour, profanity, explicit sexuality, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or is hatefully, racially, ethnically or otherwise offensive or objectionable, as determined by CFT in its sole discretion.
(iv)
Be mindful of third party marks: Entry must not infringe on the intellectual property rights, or defame or invade the publicity or privacy rights, of any third party, living or deceased.
By submitting an entry, you warrant and represent that:
(i)
The entry is yours: the entry is your original work, created solely by you, and over which you have all necessary rights, title and interest, including copyright and it has not been previously published;
(ii)
Not infringing: the entry does not infringe upon the intellectual property rights, or defame or invade the publicity or privacy rights, of any third party, living or deceased; (
(iii)
You have permission from the individuals appearing in your video: Any and all individuals appearing in the entry have granted to you permission to publish or otherwise use their likeness in the entry in any manner and media whether now known or hereafter devised including, without limitation, on the Program Website; and,
(iv)
Submission Guidelines: the entry complies with the Submissions Guidelines.
You agree to indemnify and hold harmless CFT from any claims to the contrary.
By entering, you agree as follows: (i) you acknowledge that your entry may be posted by CFT on the Program Website and/or on CFT’s social media channels, in CFT’s sole discretion but without obligation; (ii) you have the right and authority to, and do hereby, grant to CFT an irrevocable, non-exclusive, royalty-free worldwide license in perpetuity to reproduce, store, copy, broadcast, display, distribute, edit, alter, combine with other material, publish, post, commercialize and/or otherwise use without limitation all or any part of the entry in any manner or media, including without limitation on the Program Website; (iii) you waive any and all moral rights that you may have in and to the entry with respect to the uses contemplated herein; and, (iv) you agree to release and hold harmless CFT from and against any and all claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other intellectual property related cause of action that relates in any way to CFT’s use of the entry.
4.
Award
There are twenty five (25) scholarships available to be won, each consisting of $1000CDN. The number of scholarships will be distributed to every province/territory.

Scholarships distributed under this Program are to be used towards the pursuit of environmental programs and education. CFT will distribute the scholarship to each winner on the condition that the following is met:

Where the successful applicant has been accepted to their preferred post secondary institution, CFT will forward payment to the school in their name.

Where the successful applicant has chosen an environmental program or activity that is not affiliated with a post secondary institution, the program must be approved by CFT and CFT will reimburse the applicant upon receiving a receipt.

Where the successful applicant is post secondary bound but not yet accepted – CFT will provide the scholarship upon proof of post-secondary school applications.
Scholarship must be accepted as awarded and may not be substituted or transferred, except at CFT’s sole discretion. CFT reserves the right, at its sole discretion, to substitute an award of greater or equivalent monetary value if the scholarship cannot be awarded as described for any reason. Any other costs or expenses associated with the scholarship not specified herein will be the responsibility of selected winners.

Winner Selection
Between June 1, 2022 and June 14, 2022 a diverse group of qualified evaluators (the “Selection Committee”) will review all eligible submissions received during the Program Period. Submissions will be evaluated by the Selection Committee on the basis of the following equally-weighted criteria (the “Criteria”):

The twenty five (25) entrants with the highest scores and based on the provincial/territorial allocation described in Section 4 will be considered the selected entrants and will need to meet the requirements set out in Section 6 to be declared official winners. The odds of being selected will depend on the number of eligible entries received during the Program Period and the skill in meeting the Criteria.
6.
Selected Entrant Verification and Scholarship Claim Conditions
Selected entrants will be notified at the email address or telephone number indicated on their entry form. In order to be declared an official winner, each selected entrant(s) must: (i) respond to notification of selection within 3 business days of first attempt by CFT; (ii) sign and return to CFT, within 3 business days of it being sent by CFT, a written declaration and release form, releasing the CFT from any liability in connection with this Program or the use, misuse, awarding or possession of any scholarship and confirmation of selected entrant’s legal guardian or parent’s consent (the “Release”); and, (ii) otherwise comply with these Official Rules.
Return of any winner notification as undeliverable, inability to reach selected entrant or failure of selected entrant to respond to notification within 3 days of first attempt by CFT or CFT’s agent, failure to provide proof of eligibility (if requested), release documents, or other required documentation in a timely manner or other non-compliance with these Official Rules may result in disqualification, forfeiture of the scholarship and, at CFT’s sole discretion, selection of an alternate eligible entrant for the forfeited scholarship in accordance with these Official Rules, who will be subject to disqualification in the same manner.
7.
Right to Void / Terminate / Suspend / Modify
CFT reserves the right to terminate, suspend or modify this Program, in whole or in part, at any time and without notice or obligation if, in CFT’s sole discretion, any factor interferes with its proper conduct as contemplated by these Official Rules. Without limiting the generality of the foregoing, if the Program, or any part thereof, is not capable of running as planned for any reason, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, programming errors, or technical failures, which, in the sole discretion of CFT, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Program, CFT may, in its sole discretion, void any suspect entries and: (a) terminate the Program, or any portion thereof; (b) modify or suspend the Program, or any portion thereof, to address the impairment and then resume the Program, or relevant portion, in a manner that best conforms to the spirit of these Official Rules; and/or (c) award the scholarships from among the eligible, non-suspect entries received up to the time of the impairment in accordance with the winner selection criteria discussed above.
CFT reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process, the operation of the Program, violates the Official Rules, or acts with intent to annoy, abuse, threaten or harass any other person.
8.
Limitation of Liability and Releases
BY PARTICIPATING IN THIS PROGRAM, ENTRANTS AGREE THAT CFT AND THE PROGRAM ENTITIES HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY ENTRANTS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND TO THE FULL EXTENT PERMITTED BY LAW TO PERSONS OR PROPERTY RESULTING FROM THE PROGRAM, INCLUDING THE ACCEPTANCE, POSSESSION, MISUSE OR USE OF THE SCHOLARSHIP. BY PARTICIPATING IN THIS PROGRAM, ENTRANTS AGREE THAT CFT AND PROGRAM ENTITIES HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY ENTRANTS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND TO THE FULL EXTENT PERMITTED BY LAW TO PERSONS OR PROPERTY RESULTING FROM: A) ENTRY OR PARTICIPATION IN THIS PROGRAM, OR B) ANY CLAIMS BASED ON PERSONALITY OR PRIVACY RIGHTS, DEFAMATION OR MERCHANDISE DELIVERY.
Without limiting the foregoing, CFT and the Program Entities, and any of CFT’s other suppliers or contractors, shall not be responsible for: (a) any incomplete or inaccurate information that is caused by entrants, or by any of the equipment or programming associated with or utilized in the Program, or by any technical or human error which may occur in the processing of submissions in the Program; (b) lost, interrupted, or unavailable network, server, service provider, on-line systems, telephone networks or telephone lines, or any other connections; (c) the theft, destruction, loss or unauthorized access to, or alteration of, entries; (d) any problems with, or malfunctions or failures of, telephone networks or lines, computers or computer on-line systems, servers or providers, computer equipment, software, viruses or bugs; (e) late, lost, misdirected, garbled transmissions or miscommunications; (f) failure of any e-mail to be received by or from the Program judges or CFT for any reason, including but not limited to traffic congestion on the Internet or at any website or combination thereof or technical incompatibility; (g) damage to a user’s computer equipment (software or hardware) occasioned by participation or downloading of materials related to this Program; (h) printing, distribution, programming or production errors, and any other errors or malfunctions of any kind, whether human, mechanical, electronic or otherwise; or (i) technical, pictorial, typographical or editorial errors or omissions contained herein.
9.
Protection of Personal Information and Publicity Release
CFT and its authorized agents will collect, use, and disclose your personal information for the purposes of administering the Program and scholarship fulfillment. Your personal information will not otherwise be used by CFT except for the administration of this Program, and otherwise in accordance with applicable law and CFT’s Privacy Policy at www.canadasforesttrust.ca/privacy.
By accepting a scholarship, winner agrees to CFT’s use of his/her name, city/province of residence, picture, biographical information, statements, voice and likeness in any advertising and publicity CFT and its respective successors, assigns and licensees may conduct relating to the Program in any media or format, whether now known or hereafter developed, including but not limited to the World Wide Web, at any time or times in perpetuity, without further compensation or notice, and hereby releases the Program Entities from any liability with respect thereto. Winner may be required to sign a document to this effect.
10.
General Conditions
All entries become the property of CFT and will not be returned and no correspondence will be made with or entered into except with selected entrant(s). Winning a scholarship is contingent on fulfilling all the requirements set forth herein. Mass entries, automated entries, entries submitted by third parties, and any entries or claims that are late, incomplete, fraudulent, illegible, unidentified or delayed will be void. All entries and claims are subject to verification. Proof of entry submission does not constitute proof of receipt. Entrants agree to abide by these Official Rules. Decisions of CFT and/or the Selection Committee will be final and binding on all matters pertaining to this Program. Program is subject to all applicable federal, provincial and municipal laws. Void where prohibited. CFT reserves the right to correct any typographical, printing, computer programming or operator errors. CFT’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. If any provision of the Official Rules is determined to be invalid or otherwise unenforceable, then the Official Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein. Should a winner make any false statement(s) in any document referenced above, the winner may be required to promptly return to CFT his/her scholarship, or the cash value thereof. WARNING: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS PROGRAM OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND CFT RESERVES THE RIGHT TO PROSECUTE AND SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.
